Terms of Service

1. Acceptance of Terms

By creating an account, starting a membership, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Clave Collective is an online directory and community platform that connects independent practitioners ("Practitioners") with prospective clients ("Clients"). We provide tools for Practitioners to publish profiles, communicate with Clients, access analytics, and participate in our community.

Clave Collective does not provide coaching, healing, therapeutic, medical, or other practitioner services itself. We are not a party to any agreement or arrangement between a Practitioner and a Client, and we are not responsible for the services provided by any Practitioner listed on the Service. Any decision to engage a Practitioner is solely your own.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are 18 or older and that all information you provide is accurate, current, and complete.

4. Account Registration and Security

To access certain features, you must register for an account. You agree to provide accurate information, keep it updated, and maintain the confidentiality of your login credentials. You are responsible for all activity that occurs under your account. Notify us immediately at connect@clavecollective.com if you suspect unauthorized use of your account.

5. Membership Terms

Practitioner memberships are billed monthly in advance at the rate published on our Pricing page. By starting a membership, you authorize us (and our payment processor, Stripe) to charge your payment method on a recurring monthly basis until you cancel.

• Memberships automatically renew at the end of each billing cycle.
• You may cancel anytime from your account settings; cancellation takes effect at the end of the current billing period.
• We do not provide refunds for partial months unless required by law. See our Refund Policy for details.
• We may change membership pricing with at least 30 days' notice; changes will not affect you until your next renewal.

6. Practitioner Terms

If you list yourself as a Practitioner on the Service, you additionally agree:

• You are solely responsible for the services you offer to Clients, including their quality, lawfulness, and outcomes.
• You are solely responsible for any taxes, fees, or other obligations arising from your work with Clients.
• You will accurately represent your qualifications, certifications, and professional credentials, and will hold any licenses required for the services you offer in your jurisdiction.
• You will conduct yourself professionally and ethically in all communications and dealings with Clients and other members of the Service.
• You will not make claims that misrepresent the outcomes a Client can expect, and you will comply with all applicable advertising, consumer protection, and professional conduct rules.
• You grant Clave Collective a limited, non-exclusive license to display the content you submit (profile text, images, video) for the purpose of operating and promoting the Service.

7. Client Terms

If you use the Service to find or contact Practitioners, you agree:

• You are solely responsible for vetting Practitioners and deciding whether to engage their services.
• Clave Collective makes no representations or warranties about any Practitioner's qualifications, credentials, methods, or outcomes.
• Any agreement, payment, or arrangement you enter into with a Practitioner is solely between you and that Practitioner.
• Clave Collective is not liable for any outcomes, losses, injuries, or damages arising from services provided by a Practitioner.

8. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Harass, threaten, defame, or abuse other users.
• Post false, misleading, or fraudulent content.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Upload malware, attempt to gain unauthorized access, or interfere with the operation of the Service.
• Scrape, copy, or republish content from the Service without our written permission.
• Use the Service to send unsolicited marketing, spam, or solicitations unrelated to the Service's purpose.

9. Intellectual Property

The Service, including its design, code, trademarks, and original content, is owned by Clave Collective and is protected by intellectual property laws. You retain ownership of content you submit, but you grant us the license described in these Terms to display and operate the Service. You agree not to use our trademarks or branding without our prior written consent.

10. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, INCLUDING PRACTITIONER PROFILES.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CLAVE COLLECTIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

12. Indemnification

You agree to indemnify and hold harmless Clave Collective and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, (c) content you submit to the Service, or (d) services you provide to or receive from another user.

13. Termination

You may close your account at any time from your account settings. We may suspend or terminate your access to the Service at our discretion, including for violations of these Terms. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada, for any dispute arising out of or relating to these Terms or the Service, except where prohibited by applicable consumer protection law.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
